Terms of Service

By accessing or using the services provided by Khive AI ("Company," "we," "us," or "our") at khive.ai, including our MCP API endpoint, dashboard, documentation, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms. We will notify you of material changes via the email associated with your account.

Khive AI provides hosted MCP (Model Context Protocol) services including but not limited to: persistent memory, knowledge graph, task management, CRM, scheduling, domain composition, and related cognitive infrastructure tools. The Services are accessed via API keys over the Streamable HTTP MCP transport.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

To use the Services, you must register with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By creating an account, you represent that you meet this requirement.

Your use of the API is subject to the rate limits and quotas associated with your subscription tier. Specific limits are communicated at the time of account provisioning and may be updated as the service evolves.

Exceeding your rate limits may result in throttled or rejected requests. We reserve the right to enforce fair-use policies to maintain service quality for all users.

Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law.

You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the start of your next billing cycle. If you cancel, you retain access to paid features until the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current billing cycle.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, viruses, or any code designed to disrupt the Services
• Attempt to gain unauthorized access to other users' data or namespaces
• Reverse-engineer, decompile, or disassemble the proprietary components of the Services
• Use the Services to build a competing product or service
• Abuse rate limits through automated circumvention, key rotation to bypass quotas, or similar techniques
• Store or transmit content that is illegal, harmful, threatening, abusive, or otherwise objectionable

The Services, including all software, documentation, branding, and content, are owned by Khive AI and protected by intellectual property laws. All platform infrastructure and proprietary features remain the exclusive property of Khive AI.

You retain all rights to the data you store through the Services. We do not claim ownership of your content. By using the Services, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Services to you.

Your use of the Services is also governed by our Privacy Policy. Each API key maps to an isolated tenant namespace. Your data is never shared with or accessible by other tenants.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KHIVE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, though we make commercially reasonable efforts to maintain 99.9% uptime.

We may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or any other reason at our sole discretion. Upon termination:

• Your API keys will be immediately revoked
• Your data will be retained for 30 days, after which it may be permanently deleted
• You may request an export of your data within the 30-day retention period

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

You agree to indemnify and hold harmless Khive AI, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in San Francisco County, California.
